Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Shio (the “Service”), which is operated by Celestial Meridian, LLC (“Company,” “we,” “our,” or “us”). By creating an account, pasting a link, or otherwise using the Service, you agree to these Terms.
1. Eligibility
You must be at least 13 years old (or the minimum digital-consent age in your jurisdiction) to use the Service. If you are accepting these Terms on behalf of an entity, you represent that you have authority to do so.
2. Your Account
You are responsible for any activity that occurs under your account. Keep your credentials secure and notify us at support@tryshio.com if you suspect unauthorized access.
3. Your Content
You retain ownership of the recipes, notes, and other content you add to the Service (“Your Content”). You grant us a limited, non-exclusive license to host, store, process, translate, structure, adapt, and display Your Content solely for the purpose of operating the Service for you.
You represent that Your Content does not infringe anyone's rights and that you have the right to save and store it in the Service.
If you choose to share a recipe with others (for example, through a share link), you represent that you have the right to share it, and you grant recipients a limited, personal, non-commercial license to view and cook from it. We act only as a passive conduit for content you choose to share, and we do not review or endorse it.
4. Imported Content
The Service can extract recipe information from public URLs you paste or share (for example, YouTube videos, TikTok posts, Instagram reels, or recipe websites). The original creator retains all rights to their content. We provide a best-effort extraction for personal use. You are responsible for respecting the source creator's rights and for not redistributing their content beyond the scope of fair personal use.
5. Subscriptions and Billing
Shio Pro is an auto-renewing subscription sold through the Apple App Store or Google Play. Payment is charged to the store account you use at confirmation of purchase, and the subscription renews automatically for the same period unless you cancel through that store before renewal. You can manage or cancel in your Apple App Store or Google Play subscription settings. Deleting the app or your Shio account does not cancel your store subscription. The price and renewal terms are shown in the app before you purchase and may vary by region. Eligibility for any free trial or introductory offer is determined by the applicable store and offer terms, and such offers may be limited to new or otherwise eligible subscribers.
6. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes or to violate another person's rights.
- Reverse-engineer, scrape, or abuse the Service in ways that degrade availability for others.
- Upload malicious code, attempt to bypass security, or impersonate another user.
- Use the Service to process URLs you do not have the right to access.
We may suspend or terminate accounts that violate these rules.
7. AI Features and Accuracy
Recipe parsing, translation, dietary adaptation, and nutrition estimates rely on automated systems, including third-party large-language models. These features are provided on a best-effort basis and can make mistakes: amounts, times, instructions, translations, ingredient substitutions, and nutrition figures may be incorrect. Dietary adaptations (for example, adapting a recipe to be gluten-free, dairy-free, or otherwise restricted) and nutrition estimates are not a guarantee that a dish is safe or suitable for any allergy, intolerance, dietary goal, or medical condition. Always use your own judgment and independently verify every ingredient, especially for allergens, cooking temperatures, and food safety. We disclaim liability for outcomes that depend on the accuracy of parsed, adapted, or estimated recipe data.
8. Service Availability
The Service is provided “as is” and “as available”. We do not guarantee uninterrupted access, and we may change, suspend, or discontinue features at any time. Planned maintenance and outages will be communicated where practical.
9. Intellectual Property
The Service itself, including its design, source code, branding, and any original content we create, is owned by us or our licensors. Nothing in these Terms transfers ownership of the Service to you.
10. Copyright Complaints (DMCA)
We respond to clear notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (“DMCA”). If you believe content available through the Service infringes a copyright you own or control, send a written notice to our Designated Copyright Agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim was infringed; (c) identification of the material you claim is infringing, with enough detail for us to locate it; (d) your name, address, telephone number, and email; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

We will remove or disable access to material we determine is infringing and may notify the user who provided it. If you believe your material was removed in error, you may submit a counter-notification to the same agent. We terminate the accounts of repeat infringers in appropriate circumstances.
11. Disclaimers
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty regarding the accuracy, completeness, or reliability of any parsed recipe or other content available through the Service.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for claims arising from the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) USD 20.
13. Indemnification
You agree to indemnify and hold harmless Celestial Meridian, LLC and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we decide in good faith to discontinue the Service. Sections of these Terms that by their nature survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.
15. Governing Law
These Terms are governed by the laws of the U.S. state in which the Company is organized, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in that state, and you consent to their jurisdiction, unless applicable law requires otherwise.
16. Changes
We may update these Terms from time to time. We will announce material changes in-app or by email at least 7 days before they take effect. Continued use of the Service after an update constitutes acceptance of the revised Terms.
